LeadPlot ("Service," "we," "us") operates an online marketplace that identifies off-market small business acquisition opportunities, qualifies seller interest through AI-powered voice conversations, and delivers exclusive leads to registered buyers. The Service is provided by LeadPlot, located at 9169 W State St #2233, Garden City ID 83714.

2. Account Terms

To purchase leads you must register as a buyer by providing your name, email address, phone number, and firm name. You agree to:

• Provide accurate and complete registration information.
• Keep your contact information current.
• Not share purchased lead data with third parties without our written consent.
• Use the Service only for lawful business acquisition purposes.

3. Lead Purchases, Billing, and Delivery

All payments are processed through Stripe. By purchasing a lead, you agree to these Terms and the Billing Policy, including dispute and refund rules.

• Exclusive leads: Each lead is sold to exactly one buyer. Once purchased, no other buyer can access the full lead details.
• Digital delivery: Lead products are digital business-intelligence assets. Delivery is deemed complete when access is granted or fulfillment data is sent to your designated email.
• Pricing: Lead prices are displayed on each listing and may vary based on the business opportunity.
• Final sale policy: Except where required by law or in documented duplicate-charge or processing-error scenarios, purchases are final and non-refundable after digital delivery.
• Chargeback policy: You agree to first contact support and participate in our dispute-resolution process before initiating a card dispute for non-fraud issues.

4. Acceptable Use

You agree not to:

• Resell, redistribute, or publicly disclose purchased lead information.
• Use lead data for spam, harassment, or any unlawful purpose.
• Attempt to reverse-engineer, scrape, or interfere with the Service.
• Misrepresent your identity or intentions when contacting sellers.
• Use automated tools to access the Service without our permission.

5. Lead Accuracy and No Business Outcome Warranty

Leads are generated through AI-powered qualification conversations with business owners. While we strive for accuracy, we do not guarantee that any information provided by a seller — including revenue figures, asking price, employee count, or willingness to sell — is accurate, complete, or current. Leads represent a point-in-time expression of interest and should be independently verified by the buyer before pursuing an acquisition. LeadPlot is not a broker, advisor, or fiduciary and does not provide legal, tax, investment, or valuation advice.

6. Buyer Representations

You represent and warrant that:

• You have authority to bind your company and use the provided payment method.
• Your purchase intent is for lawful acquisition evaluation purposes.
• You will not misuse or unlawfully disclose lead data.
• Your account and payment information is accurate and current.

7. Intellectual Property

All content on the Service — including text, design, logos, AI-generated summaries, and software — is owned by LeadPlot or its licensors and protected by applicable intellectual property laws. Purchased lead data is licensed to you solely for your internal business use and may not be republished or redistributed.

8. Indemnification

You agree to defend, indemnify, and hold harmless LeadPlot and its affiliates, officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your breach of these Terms, violation of law, or misuse of purchased lead data.

9. Limitation of Liability

To the maximum extent permitted by law, LeadPlot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or any lead purchased through it. Our total liability for any claim related to the Service shall not exceed the amount you paid for the specific lead giving rise to the claim.

10. Dispute Resolution; Arbitration; Class Action Waiver

Before filing any claim, you agree to first contact us for informal resolution. If unresolved, any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration, except claims eligible for small claims court.

• Arbitration will be administered under commercially reasonable rules selected by LeadPlot.
• You and LeadPlot waive any right to jury trial and to participate in class, collective, or representative actions.
• Arbitration must be conducted on an individual basis only.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Upon termination, your right to access purchased lead data remains intact, but your access to the platform may be revoked.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered buyers. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of laws provisions. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Ada County, Idaho, and you consent to personal jurisdiction in those courts.
